These Terms of Service ("Terms") govern access to and use of the AI.Prof modular AI hiring intelligence platform (the "Platform"), operated by AI.Prof ("AI.Prof," "we," "us," or "our"). These Terms are entered into between AI.Prof and the company or organization that creates an account ("Customer," "you," "your").
By creating an account or otherwise using the Platform, you agree to these Terms on behalf of your organization. If you do not agree, do not use the Platform.
1. The Platform
AI.Prof provides a modular, configurable AI hiring intelligence layer, including features such as resume and project analysis, a unified multi-modal AI interview, coding assessments, live project evaluation, AI tool fluency scoring, values assessment, and a company-facing hiring metrics dashboard. Customers select, enable, and configure the features included in their chosen package or add-ons.
2. Eligibility and Account Registration
- You must be authorized to act on behalf of the organization creating the account.
- You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
- You agree to provide accurate company and billing information and to keep it up to date.
3. Customer Responsibilities
As the operator of the hiring process and the data controller for candidate data processed through the Platform, the Customer is responsible for:
- Candidate Consent: Obtaining any legally required consent from candidates before collecting or processing their data through the Platform, including for video/audio interviews and AI-based evaluation.
- Automated Decision Notices: Providing candidates with any legally required notices regarding automated decision-making or AI-assisted evaluation used in the hiring process.
- Legal Compliance: Configuring evaluation weights, thresholds, and enabled features in a manner that complies with applicable employment, anti-discrimination, and data protection laws in the Customer's jurisdiction(s).
- Knowledge Base Uploads: Ensuring that any internal documentation uploaded for the Company Knowledge-Grounded Interview feature does not include confidential information the Customer is not authorized to use in this context.
- Human Final Decision: Making the final hiring decision; the Platform's scores and recommendations are advisory only.
4. Acceptable Use
You agree not to:
- Use the Platform to evaluate candidates in a manner that violates applicable anti-discrimination, labor, or employment law
- Attempt to reverse-engineer, decompile, or extract the underlying AI models or scoring logic of the Platform
- Use the Platform to process data you do not have the legal right to collect or share
- Interfere with or disrupt the integrity or performance of the Platform
- Use the Platform to build a competing product or service
5. AI-Generated Content and Scores
- AI-generated scores, evaluations, and recommendations are produced based on the evidence available and the criteria the Customer configures. They are provided on an "as-is" basis and may contain errors, omissions, or inaccuracies.
- The Customer is solely responsible for reviewing AI-generated outputs and for any hiring decision made using them.
- AI.Prof does not warrant that any score or recommendation will be free of bias, complete, or suitable for any particular hiring decision, and disclaims liability for hiring outcomes based on Platform outputs.
6. Fees and Payment
- Fees are based on the Customer's selected package (Starter, Growth, or Enterprise), any individually purchased add-on features, and hiring volume, as set out in the applicable order form or billing plan.
- Fees are non-refundable except as required by law or expressly stated otherwise.
- AI.Prof may suspend access for accounts with overdue payment, following reasonable notice.
7. Intellectual Property
- AI.Prof retains all rights, title, and interest in the Platform, including its underlying software, AI models, and design, excluding Customer Data.
- Customer retains all rights to data it uploads or generates through the Platform ("Customer Data"), including candidate data collected through its account.
- Customer grants AI.Prof a limited license to process Customer Data solely to provide and improve the Platform, subject to the Privacy Policy.
8. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses for its own similar information, and not to disclose it except as necessary to perform under these Terms or as required by law.
9. Data Protection
Processing of personal data through the Platform is governed by our Privacy Policy and, where applicable, a separate Data Processing Agreement between AI.Prof and the Customer, which forms part of these Terms for Customers subject to GDPR, India's DPDP Act, or similar data protection laws.
10. Disclaimers
The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in these Terms.
11. Limitation of Liability
To the maximum extent permitted by law, AI.Prof will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or hiring outcomes, arising from use of the Platform. AI.Prof's total liability under these Terms will not exceed the fees paid by the Customer in the twelve (12) months preceding the claim.
12. Indemnification
The Customer agrees to indemnify and hold AI.Prof harmless from claims arising out of the Customer's use of the Platform in violation of applicable law, including claims relating to hiring decisions, candidate consent, or discrimination arising from the Customer's configuration or use of evaluation criteria.
13. Term and Termination
- These Terms remain in effect for as long as the Customer maintains an active account.
- Either party may terminate for convenience with notice as specified in the applicable order form, or immediately for material breach that remains uncured after notice.
- Upon termination, AI.Prof will make Customer Data available for export for a reasonable period, after which it may be deleted in accordance with the Privacy Policy and applicable retention settings.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated with reasonable notice. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of Telangana, India, without regard to conflict of law principles, unless otherwise agreed in a separate order form.
